1. Definitions

  • “Service Provider” refers to InyoBox, a DBA of TechnicaLee, LLC.
  • “Client” refers to the individual or business entity engaging InyoBox for email marketing services.
  • “Services” refers to the email marketing solutions provided by InyoBox, including campaign management, automation workflows, list segmentation, and analytics.

2. Scope of Services

InyoBox will provide email marketing services as outlined in the Client’s signed agreement or scope of work. These services may include:

  • Email campaign creation and management.
  • List segmentation and hygiene.
  • Automation workflow setup.
  • Performance tracking and reporting.

Limitations:

  • InyoBox does not guarantee specific results (e.g., a particular open rate or conversion rate).
  • InyoBox reserves the right to refuse or discontinue services if the Client engages in activities that violate these Terms or applicable laws.

3. Client Responsibilities

To ensure successful delivery of services, the Client agrees to:

  1. Provide Accurate Information: Supply all required data, access, and resources promptly.
  2. Compliance: Adhere to email marketing laws (e.g., CAN-SPAM Act) and avoid submitting content or lists that violate these laws.
  3. Timely Feedback: Approve campaigns, designs, and other deliverables within the agreed-upon timelines.

Prohibited Activities:

The Client may not use InyoBox services to:

  • Send spam or unsolicited communications.
  • Violate intellectual property rights.
  • Promote illegal or unethical activities.

4. Payment Terms

  1. Retainer Fees: Payments are due monthly, as outlined in the Client’s service agreement.
  2. Late Payments: A late fee of 5% may apply to invoices not paid within 30 days.
  3. Refunds: No refunds will be issued for services already rendered unless explicitly stated in the signed agreement.

5. Intellectual Property

  1. Ownership:
    • InyoBox retains ownership of proprietary tools, templates, and methods used in delivering services.
    • The Client retains ownership of their data, email contact lists, and campaign content.
  2. License:
    • The Client grants InyoBox a limited license to use their materials (e.g., logos, branding) for the purpose of delivering the contracted services.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the engagement. This includes, but is not limited to:

  • Email contact lists.
  • Campaign strategies and analytics.

Exceptions:

  • Information required by law to be disclosed.
  • Publicly available information.

7. Termination

  1. Termination by Client:
    • The Client may terminate the agreement with 30 days’ written notice.
    • Early termination fees may apply if specified in the service agreement.
  2. Termination by InyoBox:
    • InyoBox reserves the right to terminate services immediately for non-payment, breach of these Terms, or use of services for illegal activities.

8. Liability

  1. Limitation of Liability:
    • InyoBox shall not be liable for any indirect, incidental, or consequential damages arising from the use of its services.
    • Total liability shall not exceed the amount paid by the Client in the 3 months preceding the claim.
  2. No Guarantees:
    • While InyoBox will strive to deliver quality services, results may vary based on factors outside its control (e.g., market trends, audience behavior).

9. Indemnification

The Client agrees to indemnify and hold harmless InyoBox, its affiliates, and employees from any claims, damages, or legal fees arising from:

  1. Breach of these Terms.
  2. Use of services in violation of applicable laws.

10. Governing Law

These Terms and Conditions are governed by the laws of the State of Oklahoma, without regard to its conflict of law principles. Any disputes arising under these terms shall be resolved in the courts of Tulsa, OK.


11. Modifications

InyoBox reserves the right to update these Terms and Conditions at any time. Clients will be notified of significant changes via email or the website. Continued use of services constitutes acceptance of the updated terms.
